SC Uniform Partnership Act of 2019

Abstract

A BILL TO AMEND ARTICLE 1, CHAPTER 42, TITLE 33 OF THE 1976 CODE, RELATING TO THE UNIFORM LIMITED PARTNERSHIP ACT, BY ADDING SECTION 33-42-90, TO PROVIDE THAT THE PROVISIONS OF CHAPTER 43, TITLE 33 SHALL APPLY TO LIMITED PARTNERSHIPS, EXCEPT INSOFAR AS THE PROVISIONS OF CHAPTER 42, TITLE 33 PERTAINING TO LIMITED PARTNERSHIPS ARE INCONSISTENT WITH THE PROVISIONS OF CHAPTER 43, TITLE 33; TO AMEND TITLE 33, RELATING TO CORPORATIONS, PARTNERSHIPS, AND ASSOCIATIONS, BY ADDING CHAPTER 43, TO ENACT THE "SOUTH CAROLINA UNIFORM PARTNERSHIP ACT OF 2017," TO PROVIDE FOR THE FORMATION OF PARTNERSHIPS, THE NATURE OF PARTNERSHIPS, THE RELATION OF PARTNERS TO EACH OTHER AND THE PARTNERSHIP, AND TO PERSONS DEALING WITH THE PARTNERSHIP, THE TRANSFER OF INTEREST AND RIGHTS, DISSOCIATIONS, DISSOLUTIONS, LIMITED LIABILITY PARTNERSHIPS, FOREIGN LIMITED LIABILITY PARTNERSHIPS, MERGER, INTEREST EXCHANGE, CONVERSION AND DOMESTICATION, AND TRANSITION PROVISIONS; AND TO REPEAL CHAPTER 41, TITLE 33, RELATING TO THE FORMER UNIFORM PARTNERSHIP ACT.
