Abstract

Offers and Sales of Securities; Excludes certain securities offers & sales by specified persons from exemption from specified registration requirements; provides that certain communications do not constitute general solicitation or general advertising; revises requirements for securities offers & sales that are exempt transactions under specified laws; revises requirements for & duties of issuers of securities; revises aggregate amount in certain transactions that are exempt from specified registration requirements; provides that certain securities sales are voidable within specified timeframes; authorizes registered intermediaries & dealers to use means of general solicitation & advertising; revises duties of intermediaries; authorizes issuers or persons on behalf of issuers to communicate with prospective investors on securities offerings; revises fees for securities registration applications; prohibits finders & associated persons from engaging in business unless registered.
